MIREL TERMS OF SERVICE

These Terms of Service (Terms) apply when you access or use mirel.com.au (Website) or purchase products from us.
Mirel is operated by Mirel Technologies, ABN 95 139 004 201 (Mirel, we, us or our). Our contact details are set out at the end of these Terms.
Nothing in these Terms excludes, restricts or modifies any right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.
1. ACCEPTANCE AND ELIGIBILITY
By using the Website or placing an order, you agree to these Terms and the policies referred to in them. If you do not agree, you must not use the Website.
You must be at least 18 years old and have legal capacity to place an order. If you allow a minor to use the Website, you are responsible for supervising their use.
2. PRODUCT INFORMATION
We take reasonable care to ensure that product descriptions, specifications, images, prices and availability are accurate. Colours and appearance may vary slightly depending on your screen, lighting and product manufacturing variations.
Any material difference between a product and its description or sample will be handled in accordance with the Australian Consumer Law and our Refund Policy.
We may change or discontinue products and may apply reasonable purchase limits. Changes will not affect orders we have already accepted unless we contact you and you agree, or the change is required by law.
3. ORDERS AND CONTRACT FORMATION
When you submit an order, you offer to purchase the products in your cart for the total price shown at checkout. An automated order confirmation acknowledges that we have received your order but does not necessarily mean we have accepted it. We accept your order when we send a dispatch confirmation or otherwise expressly confirm acceptance.
Before accepting an order, we may decline it for a legitimate reason, including where a product is unavailable, payment cannot be authorised, we reasonably suspect fraud, a purchase limit applies, or there is an obvious pricing or product information error. If we decline or cancel an order after taking payment, we will refund the affected amount using the original payment method unless we agree otherwise with you.
Please check your order details before submitting it. If you ask to change or cancel an order, we will try to assist, but we may be unable to do so once the order has been processed or dispatched. This does not limit any rights you have under the Australian Consumer Law or our Refund Policy.
Unless we agree otherwise, products purchased through the Website are for personal or household use and not for commercial resale.
4. PRICES, GST AND PAYMENT
All prices are in Australian dollars and include GST where GST applies, unless clearly stated otherwise. Delivery charges and any other applicable charges will be displayed before you submit your order. The total price payable will be shown at checkout.
Prices and promotions may change from time to time, but a change will not affect an order we have already accepted. Separate promotion terms may apply. If promotion terms conflict with these Terms, the promotion terms apply to that promotion.
You must provide complete and accurate billing, contact and payment information and be authorised to use the payment method selected. Payments may be processed by third-party payment providers under their own terms and privacy policies.
If an international order is available, the customer may be responsible for import duties, taxes or customs charges imposed by the destination country where these amounts cannot reasonably be calculated and collected by us at checkout. We will disclose this before purchase where applicable.
5. SHIPPING AND DELIVERY
Shipping options, charges and estimated delivery timeframes are set out in our Shipping Policy and at checkout. Delivery dates are estimates unless we expressly state that a date is guaranteed.
We will take reasonable steps to dispatch and deliver orders within the stated timeframe. Delays may occur because of carriers, weather, customs, supply interruptions or events outside our reasonable control. If we become aware of a material delay, we will provide reasonable updates and an appropriate solution where required by the Australian Consumer Law.
You must provide a complete and accurate delivery address. Please contact us promptly if an order is late, lost, damaged or shown as delivered but has not been received so we can investigate and provide any remedy required by law.
Risk in a product passes to you when it is delivered to the delivery address or collected by you or a person authorised by you. If you authorise delivery to be left unattended, risk passes when the carrier leaves the parcel in accordance with that authority. Nothing in this section limits our obligations for products lost or damaged before risk passes to you.
6. RETURNS, REFUNDS AND CONSUMER GUARANTEES
Our products come with guarantees that cannot be excluded under the Australian Consumer Law. Products must, among other things, be of acceptable quality, be fit for any disclosed purpose and match their description.
If a product fails to meet a consumer guarantee, you may be entitled to a repair, replacement, refund, compensation or another remedy. The remedy depends on the circumstances and whether the failure is major or minor. For a major failure, you may reject the product and choose a refund or replacement. We may choose the remedy for a minor failure, but must provide it within a reasonable time.
We are responsible for providing remedies available against the seller. We may ask for reasonable proof of purchase and information or images needed to assess the issue. Any manufacturer warranty is in addition to, and does not replace, your rights under the Australian Consumer Law.
Our Refund Policy explains how to request a return and any change-of-mind returns we voluntarily offer. Any time limits, exclusions, return delivery charges or restocking conditions in that policy apply only to change-of-mind returns and do not restrict rights relating to faulty, unsafe, misdescribed or otherwise non-compliant products.
7. PRE-ORDERS AND PRODUCT AVAILABILITY
Where a product is offered for pre-order, its expected dispatch or availability date is an estimate unless expressly stated otherwise. We will clearly identify pre-order products and disclose known timing information before purchase.
If there is a material delay or we cannot supply a product, we will contact you and provide an appropriate option, which may include waiting, selecting an alternative where you agree, or receiving a refund for the affected product. We will not accept payment where we know, or should know, that we will not be able to supply the product within the disclosed or a reasonable timeframe.
8. ACCOUNTS
You must provide accurate and current account information. You are responsible for keeping your login details confidential and should notify us promptly if you suspect unauthorised access.
We may suspend or close an account where we reasonably believe it is being used fraudulently, unlawfully, to harm the Website or others, or in serious breach of these Terms. Where reasonably practicable, we will give notice and an opportunity to address the issue. Closing an account does not affect an accepted order or any rights or obligations that arose before closure.
9. ACCEPTABLE USE
You must not use the Website to break the law, infringe another person’s rights, transmit malicious code, interfere with security or operation, scrape or harvest personal information, send spam, impersonate another person, commit fraud, or engage in conduct that may reasonably harm us, Shopify or other users.
We may take reasonable technical or legal steps to prevent or respond to prohibited use.
10. INTELLECTUAL PROPERTY
The Website and its original content, branding, graphics, photographs, videos, software and design are owned by or licensed to us and are protected by Australian and international intellectual property laws.
We grant you a limited, revocable, non-transferable right to access and use the Website for personal and lawful shopping purposes. You must not reproduce, modify, distribute, publish, sell or commercially exploit Website content without permission, except as allowed by law.
Mirel names and logos are owned by or licensed to us. Shopify names and logos belong to Shopify. Other names and marks belong to their respective owners.
11. REVIEWS AND OTHER CONTENT YOU SUBMIT
If you submit a review, image, suggestion or other content, you retain ownership of it but grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, edit for formatting, publish and use it to operate and promote Mirel and our products. This licence continues for content already used in published materials, subject to applicable privacy and consumer laws.
You must have the right to submit the content. It must be honest, must disclose any incentive you received and must not be unlawful, misleading, defamatory, abusive, obscene, malicious or infringe another person’s rights. We may moderate or remove content for a reasonable purpose, including a breach of this section.
12. THIRD-PARTY SERVICES AND LINKS
The Website may use or link to services provided by third parties, including Shopify, payment providers, social media platforms and delivery providers. Their separate terms and privacy policies may apply when you use their services.
We do not control third-party websites and are not responsible for their independent content or practices. However, nothing in this section excludes responsibility we have under the Australian Consumer Law or another law, including responsibility connected with products or services we supply to you.
13. PRIVACY
We handle personal information in accordance with our Privacy Policy and applicable privacy laws. Shopify may also process personal information to host and operate the Website. Shopify’s privacy information for consumers explains how Shopify processes personal information.
Our Privacy Policy explains what information we collect, why we collect it, how it may be disclosed, including to service providers located overseas, and how to contact us about access, correction or a privacy concern.
14. WEBSITE AVAILABILITY AND INFORMATION
We aim to keep the Website accurate, secure and available, but do not guarantee uninterrupted or error-free access. We may temporarily suspend access for maintenance, security or operational reasons.
General information on the Website is not professional advice. You should consider whether it is appropriate for your circumstances.
To the maximum extent permitted by law, we are not responsible for loss caused solely by your misuse of the Website, unlawful conduct, failure to follow product instructions or use of an independent third-party website. This does not exclude or limit liability that cannot lawfully be excluded or limited, including liability under the Australian Consumer Law.
15. RELATIONSHIP WITH SHOPIFY
Mirel is powered by Shopify, which provides the ecommerce platform used to offer products to you. Purchases from this Website are made directly from Mirel, not Shopify. Shopify is not the seller and is not responsible for fulfilling Mirel orders or providing remedies owed by Mirel.
To the extent permitted by law, Shopify and its affiliates are not liable for claims arising solely from a purchase made from Mirel. Nothing in this section limits a right or remedy that cannot lawfully be excluded.
16. CHANGES TO THESE TERMS
We may update these Terms from time to time. The current version and its effective date will be posted on this page. Material changes will apply prospectively from the stated effective date, and we will provide notice where required by law.
The Terms in effect when we accept your order will generally govern that order unless a change is required by law or you agree to the change.
17. SEVERABILITY AND WAIVER
If part of these Terms is found to be unlawful or unenforceable, that part will be read down to the extent possible or severed, and the remainder will continue to apply.
A failure or delay in enforcing a right is not a waiver of that right.
18. GOVERNING LAW
These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth laws of Australia that apply in New South Wales. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.
Nothing in this section prevents you from exercising rights or bringing a claim in another jurisdiction where applicable law allows you to do so.
